1. Acceptance of Terms. By creating an account or using NoteFlow ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service. NoteFlow is a cloud-based software-as-a-service platform that assists accounting professionals in preparing financial statements, notes disclosures, and related reports. NoteFlow is a productivity tool and does not provide accounting, auditing, tax, or legal advice.
3. User Accounts. You must provide accurate registration information and are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity under your account.
4. Subscription & Billing. Access to NoteFlow requires a paid subscription after the free trial period. Subscriptions renew automatically unless cancelled. Fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days’ notice.
5. Your Data. You retain all ownership rights to your data. We do not claim ownership of any financial data, trial balances, workpapers, or reports you create. You grant us a limited license to host, process, and display your data solely to provide the Service.
6. Data Security & Encryption. We use AES-256-GCM encryption for data at rest and TLS for data in transit. While we implement commercially reasonable security measures, no system is completely secure and we cannot guarantee absolute security.
7. Professional Responsibility. NoteFlow generates financial statements and disclosures based on data you provide. You are solely responsible for the accuracy, completeness, and appropriateness of all data entered and all financial statements produced. You must independently verify all outputs before issuing them to clients or third parties.
8. No Professional Advice. The Service does not replace professional judgment. Auto-generated notes, disclosures, and classifications are starting points only. NoteFlow is not a licensed CPA firm and does not render accounting opinions or assurance services.
9. AI-Powered Features. Certain features use artificial intelligence to suggest or rewrite content. AI-generated outputs may contain errors and must be reviewed by a qualified professional before use. You are responsible for all content you publish or distribute, regardless of whether it was AI-assisted.
10. Prohibited Uses. You may not: (a) reverse-engineer, decompile, or disassemble the Service; (b) share account credentials; (c) use the Service to commit fraud or produce intentionally misleading financial statements; (d) attempt to access other users’ data; (e) use automated bots to access the Service.
11. Intellectual Property. NoteFlow and its original content, features, and functionality are owned by NoteFlow and protected by copyright, trademark, and other intellectual property laws. Standard accounting language and GAAP disclosures generated by the Service are not proprietary.
12. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTEFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Indemnification. You agree to indemnify and hold harmless NoteFlow from any claims, damages, or expenses arising from your use of the Service, your data, or your violation of these Terms.
15. Termination. We may suspend or terminate your access for violation of these Terms. Upon termination, you may export your data for 30 days. After that period, data may be permanently deleted.
16. Changes to Terms. We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.
17. Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.

Privacy Policy
Information We Collect. We collect: (a) account information (name, email); (b) financial data you upload (trial balances, workpapers); (c) usage data (feature usage, session duration); (d) payment information (processed securely by Stripe — we never store card numbers).
How We Use Your Data. We use your data to: (a) provide and improve the Service; (b) process payments; (c) send service-related communications; (d) ensure security and prevent fraud. We do not sell your data to third parties.
Third-Party Services. We use: Firebase (authentication & database hosting by Google), Stripe (payment processing), and Resend (transactional email). Each operates under their own privacy policies.
Data Retention. We retain your data for as long as your account is active. You may request data export or deletion at any time by contacting us.
Your Rights. Depending on your jurisdiction, you may have the right to access, correct, delete, or port your personal data. Contact us to exercise these rights.
Cookies. We use essential cookies for authentication and session management. We do not use third-party advertising cookies.
